JRE Partner Agent Agreement

This agreement is between JRE (Joshi Real Estate), Emirates Towers, Sheikh Zayed Road, Dubai, United Arab Emirates ("JRE") and the individual or company registering as a partner agent on the JRE agent portal ("the Partner").
1. Appointment
1.1 JRE appoints the Partner on a non-exclusive basis to introduce prospective buyers, sellers and tenants ("Clients") to JRE for property transactions in the United Arab Emirates and to other JRE services.
1.2 The Partner is an independent contractor. Nothing in this agreement creates an employment, agency, partnership or joint venture relationship. The Partner may not hold themselves out as an employee of JRE or sign anything on JRE's behalf.
1.3 JRE may accept or decline any introduction at its discretion and may decline to work with a Client for compliance, conflict or commercial reasons.
2. Registration and compliance
2.1 The Partner confirms that all information supplied at registration and in the portal is true, complete and kept up to date.
2.2 Where the Partner carries out real estate brokerage activity in Dubai, the Partner confirms that they hold the licences and registrations required by the Real Estate Regulatory Agency (RERA) and the Dubai Land Department and will provide their broker registration number on request.
2.3 The Partner will comply with all applicable law, including anti-money-laundering and know-your-customer requirements, data protection law and the rules of the relevant regulators, and will cooperate with JRE's compliance checks.
3. Referral links and attribution
3.1 JRE issues the Partner a personal referral link and QR code. A visitor who arrives on jre.ae through the Partner's link is attributed to the Partner for ninety (90) days on a first-touch basis: the first Partner link a visitor uses wins, and a later link does not overwrite that attribution.
3.2 Enquiries submitted by an attributed visitor, and leads the Partner logs directly in the portal, are recorded against the Partner in JRE's CRM.
3.3 Attribution establishes a right to be considered for commission under clause 4. It does not by itself entitle the Partner to commission on any transaction.
3.4 The Partner will not use the referral link in unsolicited bulk messaging, misleading advertising, paid search on JRE's brand terms, or any manner that could damage JRE's reputation.
4. Commission
4.1 Where a Client introduced by the Partner completes a transaction on which JRE receives a commission from a developer, seller or other paying party ("Gross Commission"), JRE will pay the Partner a share of the Gross Commission actually received, at the percentage set out in the Partner's commission plan shown in the portal at the time the deal is registered.
4.2 Commission is payable only after JRE has received cleared funds from the paying party. If the paying party pays in instalments, the Partner's share is paid pro rata as each instalment clears.
4.3 If a transaction is cancelled, rescinded or the commission is clawed back, the Partner will repay any share already received in respect of that transaction, or JRE may set it off against future payments.
4.4 Deals must be registered in the portal with accurate details. JRE verifies each deal against the developer or seller record before it is approved for commission.
4.5 Payments are made in UAE dirhams by bank transfer to the account the Partner nominates in the portal, normally within fourteen (14) days of JRE receiving cleared funds. The Partner is responsible for any taxes due on amounts received, including VAT where the Partner is registered.
4.6 JRE may change the percentages in a commission plan on thirty (30) days' notice in the portal. Changes apply to deals registered after the change takes effect.
5. Conduct
5.1 The Partner will act honestly and professionally, will not make representations about any property, developer, price, return or payment plan that are not supported by the developer's or JRE's published information, and will refer Clients to JRE for documentation.
5.2 The Partner will not offer inducements, rebates or discounts to Clients without JRE's written agreement.
5.3 The Partner will keep confidential all non-public information about JRE, its Clients and its commercial terms, both during and after this agreement.
6. Data protection
6.1 Each party will process personal data in accordance with applicable data protection law. The Partner will only pass Client data to JRE where the Client has agreed to be contacted by JRE.
6.2 JRE will process the Partner's own data as described in the JRE privacy policy and will use it to operate the portal, pay commission and meet legal obligations.
7. Intellectual property
7.1 JRE's name, logo, marketing material and website content remain JRE's property. The Partner may use them only as JRE makes them available in the portal and only to promote JRE.
8. Term and termination
8.1 This agreement starts when JRE approves the Partner's registration and continues until ended by either party on written notice, including by email or through the portal.
8.2 JRE may suspend or end the Partner's access immediately for breach of this agreement, regulatory concern, or conduct that JRE reasonably considers harmful.
8.3 Commission on transactions that were registered and verified before termination remains payable under clause 4.
9. General
9.1 JRE is not liable to the Partner for indirect or consequential loss, and JRE's total liability under this agreement is limited to the commission due to the Partner under clause 4.
9.2 This agreement is governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, and the courts of Dubai have exclusive jurisdiction.
9.3 By ticking the acceptance box in the portal the Partner confirms that they have read and agree to this agreement. JRE records the date, time and network address of acceptance.
